Terms of Service (Beta Draft)

Last updated: April 24, 2026. These draft terms are intended for beta release and should be reviewed by legal counsel before wider commercialization.

1. Acceptance

By creating an account or using Palenda, you agree to these Terms and our Privacy Policy.

2. Service Description

Palenda is a local-first project planning and productivity app with optional cloud sync. During beta, we may add, remove, or adjust features as we improve reliability and usability.

3. Accounts and Eligibility
  • You must provide accurate account information.
  • You are responsible for protecting your login credentials.
  • You must be legally capable of entering a binding agreement in your jurisdiction.
4. Your Data and Content

You retain ownership of the workspace content you create (projects, tasks, notes, sessions, and settings). You grant us a limited license to host and process that data only as needed to operate and improve Palenda.

You are responsible for maintaining backups appropriate to your needs, including use of the in-app export feature.

5. Acceptable Use

You agree not to misuse the service, including:

  • Attempting unauthorized access to other users' data or system resources.
  • Interfering with service operation, stability, or security.
  • Using Palenda for unlawful, fraudulent, or abusive activity.
6. Third-Party Infrastructure

Palenda currently relies on external providers, including:

  • Supabase (authentication and cloud database services).
  • Vercel (application hosting and delivery).

Provider availability may affect service behavior and uptime.

7. Beta Status

Beta features may contain defects or temporary interruptions. We may perform maintenance, limit access, or change behavior to protect users and improve the product.

8. Disclaimers

To the fullest extent permitted by law, Palenda is provided "as is" and "as available" without warranties of any kind, express or implied.

9. Limitation of Liability

To the fullest extent permitted by law, Palenda and its operators are not liable for indirect, incidental, special, consequential, or punitive damages.

Aggregate liability for direct claims is limited to the greater of (a) amounts paid by you in the prior 12 months, or (b) USD $100.

10. Suspension and Termination

We may suspend or terminate access for terms violations, abuse, legal obligations, or security risk mitigation.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Kansas, without conflict-of-law principles.

Disputes related to Palenda will be resolved in courts serving Kansas, including venues in or near Lawrence, Kansas.
